2mee, the platform that allows businesses and brands to deliver humans as messages, has entered into non-binding heads of terms, subject to due diligence and appropriate approvals, to enter into a reverse takeover with Golden Rock Global (GCG).
Golden Rock Global is a listed Special Purpose Acquisition Company that has been seeking opportunities within the fin-tech sector. It identified 2mee’s patented, next-generation, omni-channel communication platform as the perfect fit for its ambitions.
Although the consideration payable by GCG to 2mee shareholders has not yet been determined and is subject to legal and financial due diligence, it is anticipated that it will be in the region of £6 to £8 million and will be satisfied entirely by the issue of new GCG shares.
Golden Rock Global also plans to carry out a contemporaneous fundraising to raise further working capital for the enlarged group.
2mee will use this raised capital to grow the business at pace and at scale. This includes onboarding more talent and specialists, and further developing its technology which is currently being used by tier-one online gambling operators.
2mee’s platform delivers influencers as on-screen web and app messages to amplify, personalise and humanise engagement across the entire 360-degree customer journey. Its technology empowers human experiences to deliver unparalleled, authentic connectivity between brands and their audiences by impacting consumer behaviour at the point of decision.
According to Statista, the global influencer marketing sector is set to be worth US$21.1bn this year with forecasts of US$48bn by 2027.
2mee is well-positioned to take advantage of this exceptional growth by delivering acquisition, retention and informational messaging at scale across open web, helping to deliver new levels of sustainable first-party data strategies.
James Riley, CEO of 2mee, said: “Online gambling operators must be heard above the noise being made by their rivals and connect with their audiences in a way that is human and authentic. 2mee’s technology allows them to do just that, impacting consumer behaviour at the crucial moment of decision.
“In Golden Rock Global, we have a group of people that understand the power and capabilities of our technology and how it can change the game for businesses across many sectors when it comes to acquiring and retaining customers. We are thrilled to be joining forces with GCG and to take 2mee into the next chapter of its success story.”
Ross Andrews, Chairman of Golden Rock Global, added: “We are delighted to be working with 2mee and its cutting-edge platform that allows brands to deliver humans as messages. The global influencer market is big and will only get bigger – 2mee’s technology allows businesses to capitalise on this and to impact consumers at that crucial moment of decision.”
