2mee, the platform that allows businesses and brands to deliver humans as messages, has entered into non-binding heads of terms, subject to due diligence and appropriate approvals, to enter into a reverse takeover with Golden Rock Global (GCG).
Golden Rock Global is a listed Special Purpose Acquisition Company that has been seeking opportunities within the fin-tech sector. It identified 2mee’s patented, next-generation, omni-channel communication platform as the perfect fit for its ambitions.
Although the consideration payable by GCG to 2mee shareholders has not yet been determined and is subject to legal and financial due diligence, it is anticipated that it will be in the region of £6 to £8 million and will be satisfied entirely by the issue of new GCG shares.
Golden Rock Global also plans to carry out a contemporaneous fundraising to raise further working capital for the enlarged group.
2mee will use this raised capital to grow the business at pace and at scale. This includes onboarding more talent and specialists, and further developing its technology which is currently being used by tier-one online gambling operators.
